Notice of Extraordinary General Meeting

NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting of the Institute of Highway Engineers will be held online via MS Teams at 1:00pm on Thursday 21st May 2026 to transact the following business:

AGENDA

1. Opening, apologies and proxies

2. New Articles

To consider and vote upon the following resolution:

That pursuant to section 21 of the Companies Act 2006 (UK), the Articles of the Company be repealed and replaced with the new Articles tabled at the Extraordinary General Meeting and signed by the Chair of the meeting for the purposes of identification, with effect from the close of the meeting or any adjournment of it.

The new Articles may only be adopted by Members passing a special resolution. A special resolution requires the approval of 75% of the votes cast by Members entitled to vote on the resolution and present, whether in person or by proxy.
