Modernising our M&As

Wednesday March 18, 2026

The IHE is going through the process of updating the Company’s Memorandum and Articles of Association (M&As). All limited companies must have articles of association. These set the rules company officers must follow when running the organisation and any changes require careful consideration, planning and execution.

We have engaged a specialist consultancy practice to guide us through these important changes and both Council and a dedicated working group have been working through these.

As part of the process, we will present the proposals to members at an online event hosted by chief executive, Lyle Andrew, on 21 April. This will be an opportunity for members to find out about the reasons for change, the impact of any proposed changes and provide feedback ahead of a formal vote on them later in the year.
