IHE adopts new Articles of Association following member approval

The Institute of Highway Engineers (IHE) has formally adopted a new set of Articles of Association after members overwhelmingly approved a special resolution at an Extraordinary General Meeting (EGM) held on 21 May 2026.
The EGM, which took place online via MS Teams and was chaired by IHE President Katharine Kelly, brought members together to consider a single key item of business: the repeal of the existing Articles and their replacement with an updated governance framework aligned with the Companies Act 2006.
During the meeting, the resolution – introduced in accordance with Section 21 of the Act – was put to a vote via an online poll and was successfully carried by the required majority with over 92% of votes in favour of adopting the new Articles. This outcome means the new Articles took effect from the close of the meeting.
Modernising Governance and Strengthening Structure
The newly adopted Articles of Association provide a comprehensive and modernised framework for how the Institute is governed, setting out clear provisions covering membership, governance, decision-making and administration.
The Articles also reaffirm the Institute’s purpose as supporting the development of its members, promoting professional registration and providing leadership within the highways engineering sector.
Supporting the Institute’s Future
The adoption of the new Articles represents a significant milestone for the IHE, ensuring that its governance arrangements remain fit for purpose and aligned with current best practice.
The updated framework introduces transitional provisions to support a smooth implementation, including arrangements for the classification of existing members and the election cycle of the Board moving forward.
Speaking through the formal proceedings, IHE’s leadership thanked members for their engagement in the process and for supporting this important step in strengthening the Institute’s governance.
The meeting concluded shortly after the vote, marking the successful completion of the process and the beginning of a new chapter under the revised Articles.
The new Articles of Association are now in force and are available to members for reference in the members area.
